Terms of service

1. Who we are

"NavNexis", "we" and "us" mean NavNexis, 212 N 2nd St Ste 100, Richmond, Kentucky 40475, United States. "You" and "client" mean the person or business buying or using our services.

2. Our services

We provide Shopify development, redesign, migration, audit, optimization, integration and related services. The scope, timeline and price of each project are set out in a quote, proposal or order confirmation. Work outside that scope is quoted separately before we start it.

3. Your responsibilities

  • Give us the store access, content, credentials and approvals we need, on time
  • Make sure you have the right to use any content, images and data you supply
  • Keep a backup of your store and data before work begins
  • Review deliverables and send feedback promptly

Delays in providing these may move the delivery date.

4. Delivery and acceptance

We tell you when a deliverable is ready for review. You have 7 days to approve it or report issues against the agreed scope. If we hear nothing within 7 days, the deliverable is treated as accepted.

5. Revisions

Each project includes the number of revision rounds stated in the quote. Changes beyond that, or changes to the agreed scope, are billed at our hourly rate.

6. Fees and payment

  • Prices are in US dollars and exclude taxes unless stated otherwise
  • Deposits and milestone payments are due as set out in the quote
  • Invoices are due within 14 days of the invoice date
  • Overdue amounts accrue interest at 1.5% per month, and we may pause work until they are paid
  • Third-party costs such as apps, themes and Shopify fees are paid by you

7. Prepaid hours

Prepaid hours are valid for 12 months from purchase. Time is logged in 15-minute increments and you can ask for a usage report at any time.

8. Refunds and cancellation

Refunds follow our Return and refund policy. Either side may end a project with 30 days' written notice. You pay for all work completed up to the end date.

9. Intellectual property

Once you have paid in full, you own the custom work we create for you. We keep ownership of our pre-existing tools, code libraries and methods, and grant you a licence to use them as part of the delivered work. Third-party themes, apps and software remain under their own licences.

10. Portfolio use

We may show the finished work and your business name in our portfolio and case studies. Tell us in writing if you prefer that we do not.

11. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for the project. This continues after the project ends.

12. Third-party platforms

Our work depends on Shopify and other third-party services. We are not responsible for outages, policy changes, pricing changes or errors in those services.

13. Use of AI tools

We use AI-assisted tools in development and review. Our team checks all work before delivery, and we remain responsible for what we deliver.

14. Warranties

We perform our services with reasonable skill and care. We do not guarantee specific sales, conversion rates, search rankings or revenue. Figures shown on our website describe past results and are not a promise of future performance.

15. Limitation of liability

To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 6 months before the claim arose. We are not liable for indirect losses such as lost profits, lost data or business interruption.

16. Indemnity

You agree to cover claims against us that arise from content or materials you supplied, or from your use of the deliverables in breach of the law.

17. Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, United States, and its courts have jurisdiction over any dispute.

18. Changes to these terms

We may update these terms. The version published on this page at the time of your order applies to that order.
